This Vendor Terms / Vendor Agreement (“Agreement”) governs the relationship between PCC Auto Parts Marketplace (“Marketplace,” “we,” “us,” or “our”) and any individual, business, supplier, distributor, reseller, or merchant approved to sell products through https://pccautoparts.com/ (“Vendor,” “Seller,” or “you”).
By applying for, registering as, or operating as a vendor on PCC Auto Parts Marketplace, you agree to be bound by this Agreement.
1. Marketplace Role
PCC Auto Parts Marketplace operates solely as an online marketplace platform that connects buyers with independent third-party vendors. PCC Auto Parts Marketplace is not the manufacturer, importer, distributor, wholesaler, warehouse operator, or seller of record for third-party vendor products unless expressly stated otherwise for a specific product.
Vendors are independent businesses and are not employees, agents, joint venture partners, franchisees, or legal representatives of PCC Auto Parts Marketplace.
2. Vendor Eligibility and Approval
To become a vendor, you must provide complete and accurate business and contact information as requested by the Marketplace. We reserve the right to approve, reject, suspend, or remove any vendor application or account at our sole discretion, with or without notice.
Approval as a vendor does not guarantee ongoing participation in the marketplace.
3. Vendor Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your vendor account.
You agree to:
- provide current, complete, and accurate information,
- promptly update account details when necessary,
- use the account only for lawful business purposes,
- ensure that only authorized persons access your vendor account.
You are fully responsible for all products, content, transactions, communications, and activity occurring through your account.
4. Vendor Store and Marketplace Features
The marketplace may provide vendors with features and tools such as:
- vendor registration and store profile setup,
- individual vendor storefront,
- dashboard for managing products and orders,
- product upload and editing tools,
- pricing and shipping information fields,
- order notifications,
- order management tools,
- basic sales reporting,
- withdrawal request functionality,
- customer communication features.
These features may be changed, limited, added, or removed at any time at the Marketplace’s discretion.
5. Independent Responsibility for Products
You are solely and fully responsible for all products you list, advertise, offer, sell, or fulfill through the marketplace. This includes, without limitation:
- product legality,
- product safety,
- fitment accuracy,
- quality,
- origin,
- condition,
- authenticity,
- compliance with applicable laws,
- compatibility claims,
- warranties,
- packaging,
- shipping,
- taxes,
- recalls,
- labels,
- instructions,
- installation notices,
- import/export requirements.
PCC Auto Parts Marketplace does not inspect, test, certify, endorse, or guarantee your products.
6. Product Listing Requirements
Each listing must be accurate, complete, and not misleading. For every listed product, you must provide appropriate information, including where applicable:
- product title,
- description,
- images,
- price,
- shipping charges,
- processing time,
- stock status,
- specifications,
- compatibility or fitment details,
- warranty terms,
- return eligibility,
- condition disclosure,
- legal usage limitations.
You must not publish false, deceptive, incomplete, confusing, copied, or unlawful listings.
7. Fitment and Compatibility Obligations
Because automotive parts may vary by make, model, year, trim, engine, region, and configuration, you are solely responsible for ensuring that all fitment, compatibility, and application details in your listings are accurate.
You acknowledge that buyers rely on your fitment information. You agree that PCC Auto Parts Marketplace shall have no responsibility or liability for incorrect fitment claims, installation issues, labor charges, mechanic fees, return shipping losses, vehicle damage, downtime, or customer disputes resulting from your inaccurate or incomplete product information.
8. Prohibited Products and Conduct
You may not list, promote, or sell any product that is:
- counterfeit,
- stolen,
- illegal,
- unsafe,
- recalled,
- infringing on intellectual property rights,
- prohibited by law,
- restricted from shipment,
- falsely advertised,
- misleadingly branded,
- unlawfully imported,
- non-compliant with applicable safety or labeling laws.
You may not:
- manipulate pricing dishonestly,
- misrepresent stock,
- use misleading images,
- redirect customers away from the marketplace without permission,
- engage in fraudulent orders or transactions,
- misuse customer data,
- harass customers or staff,
- interfere with the operation of the marketplace.
9. Orders and Fulfillment
You are solely responsible for accepting, processing, packaging, shipping, and completing orders assigned to your store, unless the Marketplace expressly states otherwise in writing.
You agree to:
- fulfill orders within the promised processing timeframe,
- provide accurate tracking details where applicable,
- package items appropriately,
- ship the correct item,
- respond promptly to order-related issues,
- maintain sufficient stock or timely inventory updates.
You are liable for any losses, complaints, claims, chargebacks, or disputes arising from delayed shipment, incorrect items, defective goods, poor packaging, lost shipments, or failure to fulfill orders properly.
10. Shipping Responsibility
You are solely responsible for:
- shipping costs you set,
- shipping commitments,
- carrier selection,
- delivery estimates,
- customs compliance where applicable,
- shipment tracking,
- damaged or lost shipments caused by your handling,
- shipping restrictions and legal compliance.
PCC Auto Parts Marketplace is not liable for your shipping failures, delays, packaging errors, or carrier disputes.
11. Returns, Refunds, and Customer Complaints
You are responsible for handling returns, refunds, exchanges, warranty claims, and customer complaints related to your products, subject to the marketplace policies and any minimum standards we may require.
You acknowledge that automotive items may involve fitment and installation issues, and you agree to resolve customer complaints fairly and promptly.
Where refunds, returns, chargebacks, reversals, or payment disputes arise from your conduct, products, or fulfillment, the Marketplace may deduct the related amount and associated fees from your payable balance or future payouts.
12. Pricing and Taxes
You are solely responsible for:
- setting lawful and accurate product prices,
- ensuring prices are not deceptive,
- applying any discounts correctly,
- determining and complying with tax obligations applicable to your sales,
- remitting taxes where required by law, unless the Marketplace is legally required to collect or remit them.
You are responsible for understanding your obligations regarding sales tax, VAT, GST, HST, customs, duties, and any other applicable charges.
13. Warranties and Product Claims
Any warranty offered on your listed products is solely your responsibility or the manufacturer’s responsibility, not the responsibility of PCC Auto Parts Marketplace, unless expressly stated otherwise in writing by the Marketplace.
You must clearly disclose any warranty limitations, exclusions, conditions, and claim procedures in your product listings or store policy where applicable.
You may not make false or unsupported claims regarding product performance, safety, legality, or manufacturer approval.
14. Compliance with Laws
You agree to comply with all applicable laws, regulations, and industry requirements relating to your business and products, including but not limited to:
- consumer protection laws,
- product safety laws,
- vehicle equipment regulations,
- intellectual property laws,
- privacy laws,
- advertising laws,
- tax laws,
- import/export laws,
- sanctions and trade restrictions,
- environmental disposal or hazardous goods rules where applicable.
You are solely responsible for determining whether your products may legally be sold or shipped into any province, state, territory, or country.
15. Intellectual Property
You represent and warrant that you own or have all necessary rights, permissions, and licenses to use and upload your product content, including:
- product images,
- brand references,
- descriptions,
- manuals,
- logos,
- fitment charts,
- marketing materials.
You must not upload or sell content or products that infringe any copyright, trademark, patent, trade dress, trade secret, or other intellectual property rights.
If a complaint is made about your content or products, the Marketplace may remove the listing, suspend the account, withhold payouts, or terminate your participation.
16. Vendor Payouts and Withholding Rights
The Marketplace may make vendor payout functionality available to approved vendors. Payout timing, minimum thresholds, deductions, reserves, and processing terms may be determined by the Marketplace and may change from time to time.
We reserve the right to withhold, delay, offset, or reverse payouts, in whole or in part, where reasonably necessary in connection with:
- refunds,
- returns,
- chargebacks,
- payment disputes,
- suspected fraud,
- legal claims,
- policy violations,
- account review,
- customer complaints,
- shipping failures,
- tax or compliance concerns.
17. Commission and Fees
The Marketplace may charge commissions, service fees, transaction deductions, listing-related fees, or other charges for use of the platform. Such fees may be updated from time to time. By continuing to use the marketplace, you agree to any applicable fee structure in effect at that time.
18. No Marketplace Liability for Vendor Business
You acknowledge and agree that PCC Auto Parts Marketplace is not responsible for:
- your sales volume,
- product performance,
- customer demand,
- listing visibility,
- business losses,
- supplier issues,
- shipping carrier issues,
- inventory shortages,
- platform downtime,
- ranking changes,
- lost profits,
- indirect damages.
You use the marketplace at your own business risk.
19. Indemnification
You agree to indemnify, defend, and hold harmless PCC Auto Parts Marketplace, its owners, affiliates, officers, employees, contractors, agents, and representatives from and against any and all claims, demands, losses, liabilities, damages, judgments, settlements, penalties, costs, and expenses, including legal fees, arising out of or relating to:
- your products,
- your listings,
- your warranties,
- your fitment claims,
- your shipping or fulfillment,
- your violation of law,
- your infringement of intellectual property,
- your negligence or misconduct,
- your customer disputes,
- your tax obligations,
- your breach of this Agreement.
20. Suspension, Removal, and Termination
We reserve the right, at our sole discretion, to:
- suspend or terminate your account,
- remove listings,
- restrict selling privileges,
- withhold payouts,
- cancel access to marketplace features,
- investigate complaints or violations,
at any time, with or without notice.
Reasons may include, without limitation:
- inaccurate or misleading listings,
- customer complaints,
- returns abuse,
- suspected fraud,
- counterfeit goods,
- shipping failures,
- legal or compliance risks,
- poor vendor performance,
- violation of this Agreement or marketplace policies.
21. No Guarantee of Platform Availability
We do not guarantee uninterrupted access to the website or marketplace tools. Maintenance, upgrades, errors, technical issues, security events, or third-party service failures may affect platform availability from time to time.
PCC Auto Parts Marketplace shall not be liable for any losses arising from such interruptions.
22. Limitation of Liability
To the fullest extent permitted by law, PCC Auto Parts Marketplace shall not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost sales, lost data, business interruption, reputational harm, or opportunity loss arising out of or related to your use of the marketplace.
If liability is imposed despite the above, the maximum aggregate liability of PCC Auto Parts Marketplace to you shall not exceed the total amount of fees actually paid by you to the Marketplace in the three months immediately preceding the event giving rise to the claim.
23. Amendments
We may amend this Agreement at any time by posting an updated version on the website. Continued use of the marketplace after such update constitutes your acceptance of the revised Agreement.
24. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction in which PCC Auto Parts Marketplace operates, without regard to conflict of law principles. Any dispute shall be subject to the competent courts of that jurisdiction, unless applicable law requires otherwise.
25. Severability
If any part of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
